Terms of Service

These Terms of Service ("Terms") govern your use of VisiSign, an electronic signature platform operated by RegAtlas LLC ("we", "us", "our"), a Wyoming limited liability company. By accessing or using VisiSign at visisign.app and related services (the "Service"), you agree to be bound by these Terms.
1. Description of Service
VisiSign provides an electronic signature platform that allows users to create, send, sign, and manage documents electronically. The Service includes web-based document preparation, signing workflows, API access, template management, and related features.
2. Account Registration
To use the Service, you must:
- Be at least 18 years old or have legal authority to enter into contracts
- Provide accurate and complete registration information
- Maintain the confidentiality of your account credentials
- Promptly notify us of any unauthorized use of your account
You are responsible for all activity that occurs under your account, including actions taken by team members you invite to your organization.
3. Electronic Signatures and Legal Validity
Electronic signatures created through VisiSign are intended to be legally binding under applicable electronic signature laws, including:
- The U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act)
- The Uniform Electronic Transactions Act (UETA)
- The European Union's eIDAS Regulation
- Other applicable local, state, national, and international laws
By using the Service, you consent to conduct transactions electronically and acknowledge that electronic signatures have the same legal effect as handwritten signatures. VisiSign maintains audit trails including signer identity, timestamps, IP addresses, and document integrity hashes to support the validity of electronic signatures.
VisiSign does not provide legal advice. You are responsible for determining whether electronic signatures are appropriate for your specific documents and jurisdiction. Some document types (e.g., wills, certain real estate documents) may require handwritten signatures under applicable law.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Send fraudulent, deceptive, or misleading documents
- Forge signatures or misrepresent signer identity
- Upload documents containing malware, viruses, or harmful content
- Send unsolicited bulk signing requests (spam)
- Attempt to circumvent security measures, rate limits, or fraud detection
- Use automated means to access the Service except via our published API
- Infringe on the intellectual property rights of others
- Harass, threaten, or abuse other users or signers
We reserve the right to suspend or terminate accounts that violate these terms without notice.
5. Intellectual Property and Content Ownership
Your content: You retain all ownership rights to documents, signatures, and other content you upload to the Service. By uploading content, you grant us a limited license to process, store, and transmit that content solely to provide the Service.
Our service: VisiSign, its design, code, features, and branding are the intellectual property of RegAtlas LLC. You may not copy, modify, or create derivative works of the Service.
6. Plans, Fees, and Payment
Free plan: The Individual plan is free and includes basic features with usage limits as described on our pricing page.
Paid plans: Team and API plans require payment. Subscription fees are billed monthly via Stripe. You agree to pay all fees associated with your chosen plan.
Wallet top-ups: API and Team plan overage sends require prepaid wallet credits. Wallet top-ups have a minimum of $5.00 and are non-refundable.
Plan changes: You may upgrade, downgrade, or cancel your plan at any time. Downgrades take effect at the end of the current billing period.
Non-payment: If payment fails, we may downgrade your account to the free plan after a grace period. Your data will be retained but paid features will be disabled.
7. API Terms
If you use the VisiSign API, the following additional terms apply:
- API keys are confidential and must not be shared or exposed in client-side code
- API usage is subject to rate limits as documented in our API documentation
- We may revoke API keys that are used in violation of these Terms
- We may modify the API with reasonable notice; breaking changes will be communicated in advance where possible
- You are responsible for the security of your API integration and any actions taken through it
8. Termination and Suspension
By you: You may delete your account at any time. Upon deletion, we will remove your data within 30 days, except where retention is required by law.
By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to the Service or other users. We will attempt to provide notice before termination unless the violation is severe.
Effect of termination: Upon termination, your access to the Service will cease. Completed, signed documents and their audit trails may be retained as necessary for legal compliance.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We do not offer a formal Service Level Agreement (SLA) at this time.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
- We do not warrant that the Service will be error-free, secure, or uninterrupted
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim
11. Indemnification
You agree to indemnify and hold harmless RegAtlas LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third-party rights.
12. Dispute Resolution and Arbitration
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wyoming or remotely at the arbitrator's discretion.
Class action waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles.
14. Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and RegAtlas LLC regarding the Service.
